Statement of Purpose

We the members of the Genesee Rim Riders, Inc. believe the breeding, training, and use and care of pleasure horses is an enjoyable and beneficial type of recreation. We also believe in promoting the interest and training of young persons in the proper care and humane handling of horses. Also, we wish to encourage good sportsmanship and courtesy among riders and good fellowship among all persons interested in horses.

Article I Corporation

The name of this non-profit organization shall be GENESEE RIM RIDERS, INC. The duration of the incorporation shall be in perpetual effect. The Executive officers shall comprise the Board of Directors. The Executive officers shall be elected by the membership.

Article II Membership

Membership shall be open to any person interested in horses who wishes to participate in activities sponsored by this organization, and who pays the dues as prescribed by the bylaws. Every paid member in good standing agrees to abide by the provisions of the constitution and bylaws. All persons who declared their intentions of becoming members and who paid their dues before the adoption of the constitutions and by-laws shall be known as “Charter Members.” Dues of members shall be at rates agreed upon by the Executive officers, subject to approval by the membership.

Article III Meetings

Regular business meetings shall normally be held on the first Thursday of each month. All members will be notified of the time, date and location of each meeting. Special meetings may be called at the discretion of the Executive officers. Ten members including three officers shall constitute a quorum for conducting business. Twenty members including three officers shall constitute a quorum to adopt a change to the bylaws.

Article IV Executive Officers

The direction of the affairs of this organization shall be vested in the Executive officers and shall be authorized to carry on all business of the organization subject to the approval of the membership. The Executive officers of the organization except for the youth representative shall be adult members in good standing. They shall be president, vice-president, secretary, treasurer, historian, program director/trail master, and the youth representative. The duties of the president shall be to preside at all meetings of the membership and shall perform all duties incident to this office. The president shall have the power to appoint any and all committees, as deemed necessary. The president shall cast the deciding vote in case of a tie. The vice-president shall act for the president in his/her absence and shall perform such duties as required by the president. The secretary shall be responsible for the taking of minutes at all official business meetings and to maintain such minutes as a permanent record of the club. The secretary is responsible for filing the annual registration for the corporation. Additionally, the secretary shall be responsible for keeping the policy manual and other records as deemed necessary by the club president. The treasurer shall have charge of all funds, pay out, and keep adequate record thereof. The treasurer shall submit a financial report at each meeting of expenditures and income. An annual report shall be presented at the annual meeting. The treasurer shall deliver to their successor all records and monies within 10 days after the election of a new treasurer. The historian will keep an accurate account of newspaper articles, publicity of the club, members, and royalty as well as pictures of activities and members in a scrapbook. The program director/trail master shall organize trail rides, parades, and activities at the arena. They shall be a member of all the activity committees. They shall take inventory and report annually all club equipment. They shall refer any member for misconduct to the Executive officers. The youth representative shall represent and communicate the wishes of the younger club members.

Article V Elections

Any vacancy in the executive offices shall be filled by appointment by the Executive officers until the next regular election. A nomination committee can be set up at the November meeting to arrange a slate of candidates for election at the December meeting. Nominations from the floor are also appropriate. Election shall be by voice vote when there is only one candidate, and by secret ballot when more than one candidate is nominated for an office. A candidate must receive a majority of the votes cast to be elected.

Article VI Finances

All monies coming into the organization shall be deposited in a bank designated by the executive officers. All checks to pay bills shall be signed by the treasurer, president or other person designated by the Executive officers. All major expenditures need to be approved by a majority of the members attending a meeting.

Article VII Royalty

Royalty may be selected to serve as ambassadors for this club.

Article VIII Liability

All riding of any kind done by members under the auspices of the organization shall be strictly at the risk of each member. Each member agrees to and does hereby waive and release any cause of action that he or she may or ever have against this organization on account of any injuries he or she may receive during such rides, or during any activities of this organization whether or not such injuries are caused by negligence. Each member must annually complete and sign the “waiver form” on riding degree and rules of the arena to be kept on file by the treasurer.

Article IX Amendment of Bylaws

The constitution and bylaws may be amended at any regular or special meeting of the organization by a two-thirds majority vote of members present. Notice of such a proposed amendment or amendments must be in written form and be presented to the membership at the previous meeting. A copy of the proposed amendments must be delivered to each member in good standing 10 days prior to the time of voting.

Roberts Rules of Order will apply to this organization.

Article XI Voting Rights

A member must be at least 12 years old to vote. For new members, 60 days must elapse between paying dues and voting.
